General Terms

By accessing and placing an order with Qiq LLC (the “Company”), you confirm that you are in agreement with and bound by the terms of service contained in these Terms & Conditions. These terms apply to the entire website and any email or other type of communication between you and Qiq LLC. Under no circumstances shall Qiq LLC or its team be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if Qiq LLC or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair, or correction of equipment or data, you assume any costs thereof. Qiq LLC will not be responsible for any outcome that may occur during the course of usage of our resources. We reserve the right to change prices and revise the resources usage policy at any time.

Early-access availability: the current public website does not offer a paid SaaS account or subscription purchase. Clauses concerning accounts, payments, renewals, refunds and customer-data processing take effect only when the relevant feature is enabled and you accept the applicable terms during signup, checkout, an order or customer onboarding.

License

Qiq LLC grants you a revocable, non‑exclusive, non‑transferable, limited license to download, install, and use the Qiq smart service (the “Service”) strictly in accordance with the terms of this Agreement.

These Terms & Conditions are a contract between you and Qiq LLC (referred to in these Terms & Conditions as “Company”, “us”, “we”, or “our”), the provider of the qiq.one website and the services accessible from the qiq.one website, which are collectively referred to in these Terms & Conditions as the “Service”. If you do not agree to these Terms & Conditions, please do not use the Service.

Definitions and Key Terms

Payment

If you register to any of our recurring payment plans, you agree to pay all fees or charges to your account for the Service in accordance with the fees, charges, and billing terms in effect at the time that each fee or charge is due and payable. Unless otherwise indicated in an order form, you must provide Qiq LLC with a valid credit card (Visa, MasterCard, or any other issuer accepted by us) as a condition to signing up for the paid plan. By providing payment information, you agree that our payment processor (currently Stripe, Inc.) is authorized to verify information immediately and subsequently invoice your account for all fees and charges due and payable hereunder. You agree to notify us promptly of any change in your billing address or the credit card used for payment.

Qiq LLC reserves the right at any time to change its prices and billing methods, either immediately upon posting on our site or by email delivery to your organization’s administrator(s). Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be your responsibility.

Return and Refund Policy

Thanks for shopping at Qiq. If you are not completely satisfied with a service we provide, contact us and we will review your case. Unless otherwise required by law, all subscription fees are non‑refundable once the billing period has started. Please review any specific terms displayed at checkout.

Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions (collectively, “Suggestions”) provided by you to Qiq LLC with respect to the Service shall remain the sole and exclusive property of Qiq LLC. We shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or compensation to you.

Term and Termination

This Agreement will remain in effect until terminated by you or Qiq LLC. We may, in our sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. Upon termination, you shall cease all use of the Service and delete all copies of the software or materials from your devices.

Copyright Infringement Notice

If you are a copyright owner or such owner’s agent and believe any material on our Service constitutes an infringement on your copyright, please contact us at info@qiq.one with the information required by applicable law (including your contact information, identification of the infringing material, and a good‑faith statement of unauthorized use).

Indemnification

No Warranties

To the maximum extent permitted under applicable law, Qiq LLC, on its own behalf and on behalf of its affiliates and its respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Qiq LLC and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Service. To the maximum extent permitted by applicable law, in no event shall Qiq LLC or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Service), even if Qiq LLC has been advised of the possibility of such damages.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach.

Amendments to this Agreement

Qiq LLC reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Entire Agreement

The Agreement constitutes the entire agreement between you and Qiq LLC regarding your use of the Service and supersedes all prior and contemporaneous written or oral agreements between us.

Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by Qiq LLC, its licensors or other providers of such material and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Any unauthorized use of the material is prohibited.

Agreement to Arbitrate

You and Qiq LLC agree to resolve any dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You are giving up the right to litigate (or participate in a class action) in court before a judge or jury. Either party may seek interim or preliminary injunctive relief from any court of competent jurisdiction as necessary to protect the party’s rights or property pending the completion of arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts in Santa Clara County, California, in connection with any action or dispute arising between the parties under or in connection with these Terms, except for those individuals who may have rights to make claims under consumer protection laws.
